These Terms of Service (“Terms”) apply to your use of www.westerncodetechnologys.com and to the software products and services provided by Western Code Technology (“we”, “us”, “our”), Tenkasi, Tamil Nadu, India. By using our website or engaging our services, you agree to these Terms.
1. Our services
We provide ready-made software products (such as GST billing, POS, inventory, and HR & payroll software) and development services (such as websites, mobile apps, web applications, ERP and custom software). The exact scope, price, timeline and deliverables of any project are set out in a written proposal or quotation that you accept. If that proposal conflicts with these Terms, the proposal prevails for that project.
2. Quotations and payments
- Projects are billed on a milestone basis. A token amount is paid to begin work, and later payments fall due as each agreed milestone is delivered.
- Prices are in Indian Rupees and exclude GST unless stated otherwise. GST is charged as applicable.
- Work on the next milestone may be paused if a payment is overdue.
- Subscription, hosting or annual maintenance fees, where applicable, are payable in advance for the period they cover.
3. Changes to scope
Changes or additions beyond the agreed scope are quoted separately and scheduled after you approve them.
4. Your responsibilities
- Provide content, data, access and feedback needed for the project in good time. Delays in these may move the delivery timeline.
- Make sure you have the rights to any content, logos, images or data you give us.
- Check that the software's output (for example invoices, tax calculations and statutory reports) is correct for your business before relying on it, and keep your own backups where the software runs on your systems.
5. Ownership and source code
For custom-built software, websites and apps, ownership of the project deliverables and source code passes to you once all payments for the project are completed. We keep ownership of our pre-existing tools, libraries and ready-made products; you receive a licence to use those as part of your project. Ready-made products are licensed, not sold, under the terms of your quotation or subscription. We may mention your project in our portfolio unless you ask us not to in writing.
6. Support and warranty
Every development project includes free bug-fix support for 6 months from launch, covering defects in the delivered work under the agreed scope. This does not cover new features, changes to requirements, problems caused by third-party services, hosting providers or changes made by others, or misuse. Ongoing support after this period is available through an annual maintenance plan.
7. Third-party services
Our software may depend on third-party services such as hosting, payment gateways, SMS and WhatsApp providers, app stores and government portals (for example the GST and e-invoice systems). We are not responsible for their availability, fees, rule changes or outages.
8. Limitation of liability
To the extent permitted by law, we are not liable for indirect or consequential losses, such as loss of profit, business or data. Our total liability for any claim related to a project is limited to the amount you paid us for that project in the 12 months before the claim.
9. Use of this website
The content on this website, including text, design and graphics, belongs to Western Code Technology unless stated otherwise. You may not copy it for commercial use without permission. Articles on our blog are general information, not legal, tax or financial advice.
10. Confidentiality
We keep your business information confidential and use it only to deliver your project. Our Privacy Policy explains how we handle personal information.
11. Termination
Either party may end a project by written notice. You pay for work completed up to the date of termination, and we hand over the deliverables completed and paid for up to that point.
12. Governing law
These Terms are governed by the laws of India. Any dispute will be subject to the exclusive jurisdiction of the courts at Tenkasi, Tamil Nadu. We will always try to resolve concerns through discussion first.
13. Changes to these Terms
We may update these Terms from time to time. The version on this page applies from the “Last updated” date above.
